Aaron & Partners act for PROjEN on sale to Capita

7th August, 2014

Aaron & Partners has acted as legal advisor to the shareholders of PROjEN, the project management and engineering solutions business, on its sale to Capita, the UK leader in business process management and outsourcing solutions.

Stuart Scott-Goldstone, Head of Corporate at Aaron & Partners, said: “We’re very pleased to have been appointed to act for the shareholders of PROjEN on its sale to Capita. The deal will bring investment into the North West and, as a fellow Cheshire-based firm, it’s great to be able to have been part of a deal which will allow PROjEN to expand and develop.”

PROjEN, headquartered in Preston Brook, Cheshire, employs more than 100 staff, providing a wide range of design, engineering and management services in the pharmaceutical, environmental and legislative compliance, manufacturing and bio energy markets.

Commenting on Aaron & Partners, John Taylor, chairman of PROjEN, said: “My personal experience with Aaron & Partners has been through a variety of services they have provided to PROjEN over the last 12 years. Based on their previous performance we had no hesitation in engaging them to advise on our company sale. Not all the shareholders were exiting the business and Stuart Scott-Goldstone and Jamie Hawley were able to understand the deal drivers for all the individuals involved and arrive at a compromise that suited us all. The huge amount of contract and legal terminology was fully explained to ensure everyone understood what was involved and any negotiations with the buyer’s legal team were performed in a calm manner. Aaron & Partner’s fully understood what the shareholders required and anticipated any potential issues or deal breakers early in the process, plus they worked very well with all other members of the transaction team. Without doubt all of the shareholders felt that they were being professionally represented and protected at all times leading to a successful outcome for all parties.”
